We have a spa that over flows into the pool and it's cold in Georgia- is there any issues with heating the spa up when the temps are this cold?

No not really. Lots of folks use their spa in the cold temps. You will get some condensation dripping from the heat exchanger so you might hear some sizzling sounds coming from the heater.
